Terms of Use
By downloading or using PaperMind, you agree to these terms. PaperMind is licensed, not sold. You receive a personal, non-transferable license to use the software on your Mac.
1. Agreement to terms
These Terms of Use ("Terms") govern your use of PaperMind, a macOS application published by COBI Management SRL, trading as HighRoad Software ("we," "us," "our"), a company incorporated in Belgium.
By downloading, installing, or using PaperMind, you confirm that you are at least 18 years old (or the age of legal majority in your jurisdiction) and that you agree to be bound by these Terms. If you do not agree, do not use the application.
2. License grant
Subject to your compliance with these Terms and payment of any applicable fee, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to:
- Download and install PaperMind on Mac computers that you own or control
- Use PaperMind for your personal or internal business purposes
The Personal license permits installation on up to two Mac computers used personally by you. The Professional license permits installation on up to three Mac computers used personally by you. Both licenses are for a single user only.
This license is perpetual for the version licensed. It does not automatically extend to major version upgrades (see section 6).
3. Restrictions
You may not:
- Copy, redistribute, resell, rent, lease, or sublicense the application or your license key
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the application
- Modify, adapt, translate, or create derivative works based on the application
- Remove or alter any proprietary notices, labels, or marks on the application
- Use the application to develop a competing product
- Share your license key with any third party
- Use the application in any manner that violates applicable law
4. Free trial
PaperMind offers a 14-day free trial with full feature access. No payment information is required to start the trial. At the end of the trial period, the application will require a license purchase to continue use.
Your documents, workspaces, and settings are preserved when the trial expires and remain intact after purchase. No data is deleted during or after the trial period.
5. Purchase and payment
PaperMind is available as a one-time purchase. There are no recurring subscription charges. The license fees are:
- Personal: USD $49 (subject to applicable taxes)
- Professional: USD $99 (subject to applicable taxes)
Prices may vary by region and currency. Promotional pricing (including launch discounts) is available for a limited time and to a limited number of customers as stated at the time of purchase.
Purchases made directly through our website are processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record. Paddle's terms and conditions apply to the transaction. Purchases made through the Mac App Store are subject to Apple's terms and conditions.
We do not offer refunds for completed purchases except where required by applicable consumer protection law. If you believe you are entitled to a refund, contact us at support@highroadsoftware.com. For App Store purchases, refund requests must be submitted to Apple.
6. Updates and upgrades
We provide free updates within the same major version (e.g., 1.0 to 1.x). These include bug fixes, performance improvements, and minor feature additions.
Major version upgrades (e.g., from version 1.x to version 2.x) may require a separate purchase or upgrade fee. We will announce any such requirements in advance.
We are under no obligation to continue developing or updating PaperMind. If we discontinue the application, your existing license remains valid for the version you have.
7. App Store terms
If you download PaperMind from the Apple Mac App Store, your use is also subject to Apple's Media Services Terms and Conditions. In the event of a conflict between these Terms and Apple's terms, Apple's terms prevail with respect to App Store distribution.
Apple has no obligation to provide maintenance or support for PaperMind. Apple is not responsible for any claims relating to PaperMind, including product liability claims, consumer protection claims, or intellectual property infringement claims.
Apple and Apple's subsidiaries are third-party beneficiaries of these Terms for App Store customers, and Apple has the right to enforce these Terms against you as a third-party beneficiary.
8. Third-party models and services
PaperMind supports optional integration with third-party AI language model services, including OpenAI and Anthropic. Use of these services requires your own API key and is governed by the respective provider's terms of service and privacy policy.
PaperMind also supports local model inference via Ollama and llama.cpp. Third-party models you download and use are subject to their own licenses.
We are not responsible for the output, availability, pricing, or terms of any third-party AI service or model.
9. Intellectual property
PaperMind, including its code, design, name, icon, and all associated materials, is the intellectual property of COBI Management SRL and is protected by copyright law and international treaties.
Nothing in these Terms grants you any rights to our trademarks, trade names, or other brand elements. You may not use the PaperMind name or icon without our prior written permission, except to truthfully describe that you use the software.
10. Your documents and data
You retain all ownership and rights to the documents you import into PaperMind. We claim no rights over your documents, their contents, or the outputs generated from them.
You are responsible for ensuring that your use of PaperMind with your documents complies with applicable law, including any confidentiality obligations or intellectual property rights of third parties.
Because all data is stored locally on your Mac, you are responsible for backing up your PaperMind data. We accept no liability for data loss resulting from hardware failure, accidental deletion, or operating system issues.
11. Disclaimer of warranties
PaperMind is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of results.
We do not warrant that PaperMind will operate without interruption or error, that defects will be corrected, or that the application is free of viruses or other harmful components.
AI-generated answers in PaperMind may be incomplete, inaccurate, or misleading. You are solely responsible for verifying any information before relying on it. PaperMind is not a substitute for professional legal, medical, financial, or other professional advice.
12. Limitation of liability
To the maximum extent permitted by applicable law, COBI Management SRL and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of PaperMind, including loss of data, loss of profits, or business interruption, even if we have been advised of the possibility of such damages.
Our total cumulative liability to you for any claims arising out of or relating to these Terms or your use of PaperMind shall not exceed the amount you paid for your license.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Termination
Your license terminates automatically if you breach any provision of these Terms. Upon termination, you must stop using PaperMind and delete all copies from your devices.
We may also terminate or suspend your license if we reasonably suspect fraudulent activity or misuse of license keys.
Sections 9, 10, 11, 12, and 14 survive termination of these Terms.
14. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of Belgium, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or PaperMind shall be submitted to the exclusive jurisdiction of the courts of Brussels, Belgium, except that we reserve the right to seek injunctive relief in any jurisdiction.
If you are a consumer in the European Union, you may also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
15. Changes to these terms
We may update these Terms from time to time. Material changes will be announced on the HighRoad Software website at least 14 days before they take effect. Continued use of PaperMind after updated Terms take effect constitutes your acceptance of the new Terms.
