Terms of Use

1. Acceptance of terms

By downloading, installing, or using Chartwright ("the app"), you agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the app.

These Terms constitute a legally binding agreement between you and HighRoad Software (registered in Belgium). If you are using the app on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Software license

Subject to these Terms and payment of any applicable fees, HighRoad Software grants you a limited, non-exclusive, non-transferable, revocable license to install and use Chartwright on macOS devices that you own or control, solely for your personal or internal business research purposes.

License tiers

• Free — limited daily research runs; access to core features.
• Pro — unlimited research runs; unlocked analyst roster.
• Quant — all Pro features plus Scenario Lab, Whale Intel, and priority support.
• Lifetime — perpetual Quant-tier access for a one-time payment.

Feature availability is subject to change. We will provide reasonable notice of any reduction in features for paid tiers.

Restrictions

You may not:

• Sublicense, sell, rent, lease, transfer, assign, or commercially exploit the app
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the app
• Remove or alter any proprietary notices or labels
• Use the app to build a competing product or service
• Share your license key with third parties

3. Not financial advice

Chartwright generates AI-assisted research summaries, analytical scores, and scenario simulations. This output does not constitute financial, investment, tax, legal, or trading advice.

The app's outputs:

• Are generated by AI models and may contain errors, hallucinations, or outdated information
• Do not account for your personal financial situation, risk tolerance, or investment objectives
• Should not be the sole basis for any investment decision
• Are provided for informational and research purposes only

Past simulated performance does not predict future results. Investing involves risk, including the potential loss of principal. Always seek advice from a qualified, licensed financial professional before making investment decisions.

4. Eligibility

You must be at least 18 years old to use Chartwright. By using the app, you represent that you meet this age requirement and that your use complies with all applicable laws and regulations in your jurisdiction, including any laws governing securities research and trading tools.

Chartwright is not intended for use in jurisdictions where the distribution or use of such software is restricted by law. You are responsible for compliance with local regulations.

5. License keys and accounts

Paid tiers are activated via a license key. You are responsible for keeping your license key confidential. Each license key may be activated on a limited number of devices as specified at purchase.

If you suspect unauthorized use of your license key, contact support@highroadsoftware.com immediately. HighRoad Software reserves the right to revoke keys found to be in breach of these Terms.

6. Payment and refunds

Subscription plans

Subscription fees are billed in advance on a monthly or annual basis depending on the plan selected. Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time; cancellation takes effect at the end of the current billing period.

Lifetime license

The Lifetime license is a one-time payment granting perpetual access to the Quant feature set as it exists at the time of purchase, plus updates released within 24 months of purchase.

Refunds

For App Store purchases, refund requests are handled by Apple under their standard refund policy. For direct purchases, we offer a 14-day refund on first-time purchases if the app does not function as described — contact support@highroadsoftware.com within 14 days of purchase. Refunds are not available for license keys that have been activated more than twice.

Price changes

We reserve the right to change subscription prices with 30 days' notice. Price changes take effect at your next renewal date.

7. Prohibited uses

You agree not to use Chartwright to:

• Violate any applicable law, regulation, or third-party right
• Engage in market manipulation, insider trading, or any fraudulent activity
• Scrape, harvest, or systematically collect data from third-party services in violation of their terms
• Attempt to gain unauthorized access to any computer system or network
• Automate trading in a manner that violates applicable securities regulations or exchange rules
• Use the app in any manner that could damage, disable, or impair HighRoad Software's services
• Misrepresent AI-generated output as the work of a human analyst or licensed advisor

8. Intellectual property

Chartwright, including its source code, design, branding, and documentation, is the intellectual property of HighRoad Software and is protected by copyright and other applicable laws. These Terms do not transfer any intellectual property rights to you.

AI-generated research output produced by the app using your prompts and your API keys is yours to use for personal research. You may not redistribute or commercialize such output as a standalone product.

9. Third-party services

Chartwright connects to third-party APIs (OpenAI, Yahoo Finance, Financial Datasets, Whale Alert, Infura, FRED, Alpaca, Interactive Brokers, Coinbase, and others) using credentials you provide. Your use of those services is subject to their own terms of service and privacy policies.

HighRoad Software is not responsible for the availability, accuracy, or terms of any third-party service. We do not guarantee that integrations will remain functional if those services change their APIs or terms.

10. Disclaimer of warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF DATA, OR NON-INFRINGEMENT.

HIGHROAD SOFTWARE DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. MARKET DATA, AI OUTPUTS, AND BACKTEST RESULTS MAY CONTAIN ERRORS AND ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HIGHROAD SOFTWARE AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP.

IN NO EVENT SHALL HIGHROAD SOFTWARE'S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €50 EUR.

Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Termination

These Terms remain in effect until terminated. Your license terminates automatically if you breach any of these Terms. HighRoad Software may terminate or suspend access to your license key at any time if we determine you have violated these Terms.

Upon termination, all rights granted to you cease. Sections 3, 8, 10, 11, and 13 survive termination.

13. Governing law and disputes

These Terms are governed by the laws of Belgium, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or your use of the app shall be submitted to the exclusive jurisdiction of the courts of Brussels, Belgium, unless applicable consumer-protection law in your country of residence grants you additional rights.

EU consumers retain the benefit of mandatory protections and may use any competent consumer-mediation or court route available in their country.

14. Changes to terms

We may update these Terms from time to time. We will notify you of material changes via the app's release notes or by updating the "Effective date" at the top of this page. Continued use of the app after the effective date of any changes constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, discontinue use of the app and contact us about a refund if applicable.

Apple-distributed copies

For a copy obtained through Apple, these Terms are between you and HighRoad Software, not Apple. Apple has no duty to provide maintenance or support. HighRoad is responsible for product and intellectual-property claims to the extent required by law. If the app fails to conform to an applicable warranty, you may notify Apple for a refund of the purchase price; other remedies remain HighRoad's responsibility. You must comply with third-party terms and represent that you are not in a sanctioned country or on a prohibited-party list. Apple and its subsidiaries are third-party beneficiaries and may enforce these Terms. The licence is limited to Apple-branded devices you own or control, subject to Apple's Usage Rules, including eligible Family Sharing.
