1. Acceptance of Terms
By downloading, installing, or using SongForge ("the App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the App. These Terms form a binding agreement between you and COBI Management SRL (trading as HighRoad Software), Rue Haut Chemin 8, 1370 Jodoigne, Belgium ("HighRoad Software", "we", "us").
If SongForge is obtained through Apple, Apple's Standard Licensed Application End User License Agreement ("Standard EULA") also applies and controls where these Terms conflict with it.
2. License Grant
Subject to your compliance with these Terms, HighRoad Software grants you a limited, non-exclusive, non-transferable, revocable license to:
- Install and use the App on macOS devices that you own or control.
- Use the App and its generated output for personal or commercial purposes.
No separate commercial licence is required from HighRoad Software. You may publish, distribute, monetise, modify, perform, or incorporate generated audio into other work. This permission does not override applicable law or third-party rights and licence terms attached to your prompts, lyrics, source audio, samples, or model files.
You may not sublicense, sell, resell, rent, lease, or transfer the App or your license. You may not reverse-engineer, decompile, or disassemble the App except to the extent permitted by applicable law.
3. Availability and purchase
SongForge is available through the Mac App Store. Apple presents the applicable price, purchase terms, device entitlement and refund route before purchase.
SongForge is free to download and includes three completed creations. SongForge Pro is a one-time Mac App Store purchase, with no renewal, that unlocks continued creation and song export. Model training is not supported in the current release.
4. Purchases and Refunds
Apple shows the price, taxes and licence scope of SongForge Pro before you confirm the purchase. A direct-distribution edition, if offered, names its seller, payment provider and terms at checkout. Apple processes Apple-distributed purchases; a named merchant of record may process a direct purchase.
Apple purchase and refund requests are handled under Apple's rules. Direct purchases are handled under the checkout terms and applicable consumer law. Nothing in these Terms excludes a statutory withdrawal right, conformity remedy, or other mandatory consumer protection.
5. Intellectual Property
5.1 The App
SongForge, including its source code, design, UI, branding, and all underlying software, is owned by HighRoad Software and protected by copyright and other intellectual property laws. These Terms do not transfer any ownership rights in the App to you.
5.2 Your Generated Music
HighRoad Software does not claim ownership of audio you generate using SongForge and places no restriction on your personal or commercial use of that output. Whether an output qualifies for copyright protection or infringes third-party rights still depends on applicable law, your inputs, and the licence of the model you use.
HighRoad Software is granted no license to your generated audio. In the normal standalone workflow, inference runs on your device and SongForge does not send your audio to us. If you configure a remote Audio Unit backend yourself, content sent to it is handled by the operator you choose, not by HighRoad Software.
5.3 ACE-Step Model
The ACE-Step 1.5 model weights are distributed under their own open-source license. By downloading and using the model files, you also agree to the terms of that license. SongForge is not affiliated with the ACE-Step model authors.
6. Acceptable Use
You may not use SongForge to generate content that:
- Infringes the copyright, trademark, or other intellectual property rights of any third party.
- Constitutes defamation, harassment, hate speech, or incitement to violence against any individual or group.
- Is explicitly sexual involving minors.
- Violates any applicable local, national, or international law or regulation.
HighRoad Software cannot monitor locally-generated content and does not do so. Responsibility for the prompts and lyrics you input, and for the songs you generate, rests entirely with you.
7. Model Download and Third-Party Services
The App downloads model files from Hugging Face on first launch. Your use of Hugging Face's services is governed by their own terms of service. HighRoad Software is not responsible for the availability, accuracy, or continued licensing of model files hosted by third parties.
8. Disclaimer of Warranties
SongForge is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
HighRoad Software does not warrant that:
- The App will be uninterrupted or error-free.
- Generated content will meet any particular quality, musical, or commercial standard.
- The App will be compatible with all future macOS versions.
9. Limitation of Liability
To the maximum extent permitted by applicable law, HighRoad Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of SongForge, even if advised of the possibility of such damages.
Where liability may lawfully be limited, our total aggregate liability for claims arising from these Terms or the App will not exceed the amount you paid for the App in the 12 months preceding the claim. This limitation does not apply where prohibited by law, including for fraud, wilful misconduct, death or personal injury caused by negligence, or mandatory consumer remedies.
10. Apple-Distributed Copies
For copies obtained through Apple: these Terms are between you and HighRoad Software, not Apple; Apple has no obligation to provide maintenance or support; HighRoad Software is responsible for product claims and intellectual-property claims to the extent required by law; and Apple may refund the purchase price where the app fails to conform to an applicable warranty, with any other remedies remaining HighRoad Software's responsibility. You must comply with third-party terms and represent that you are not in a sanctioned country or on a prohibited-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. Your licence is limited to Apple-branded devices you own or control, subject to Apple's Usage Rules, including eligible Family Sharing or volume purchasing.
11. Governing Law and Disputes
These Terms are governed by the laws of Belgium, without regard to its conflict-of-law principles. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of Nivelles, Belgium.
If you are a consumer resident in the European Union, you may also have rights under EU consumer protection law, which these Terms do not limit.
12. Changes to These Terms
We may update these Terms from time to time. We will update the "Last updated" date at the top of this page. Continued use of SongForge after the effective date of updated Terms constitutes acceptance. If we make material changes, we will provide notice through the App or the App Store.
