1. Acceptance of Terms
By downloading, installing, or using SongForge ("the App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the App. These Terms form a binding agreement between you and COBI Management SRL (trading as HighRoad Software), Rue Haut Chemin 8, 1370 Jodoigne, Belgium ("HighRoad Software", "we", "us").
If SongForge is obtained through Apple, Apple's Standard Licensed Application End User License Agreement ("Standard EULA") also applies and controls where these Terms conflict with it.
2. License Grant
Subject to your compliance with these Terms, HighRoad Software grants you a limited, non-exclusive, non-transferable, revocable license to:
- Install and use the App on macOS devices that you own or control.
- Use the App for your personal, non-commercial purposes.
Commercial use — meaning using the App or its outputs as part of a commercial product or service offered to third parties for payment — requires prior written permission from HighRoad Software. Please contact support@highroadsoftware.com to discuss commercial licensing.
You may not sublicense, sell, resell, rent, lease, or transfer the App or your license. You may not reverse-engineer, decompile, or disassemble the App except to the extent permitted by applicable law.
3. Test Tier and Release Status
The build currently under validation allows up to three completed creations and includes the local Library and Playback workflow. This is test-build documentation, not a permanent commercial offer.
Model training is not supported in the current release. Any final paid-edition features, limits, price, device entitlement, and update policy will be stated before purchase and may differ from development plans.
4. Purchases and Refunds
If a paid edition is offered, the live checkout will identify the seller, payment provider, price, taxes, licence scope, and applicable renewal terms before you confirm the order. Apple processes Apple-distributed purchases; a named merchant of record may process a direct purchase.
Apple purchase and refund requests are handled under Apple's rules. Direct purchases are handled under the checkout terms and applicable consumer law. Nothing in these Terms excludes a statutory withdrawal right, conformity remedy, or other mandatory consumer protection.
5. Intellectual Property
5.1 The App
SongForge, including its source code, design, UI, branding, and all underlying software, is owned by HighRoad Software and protected by copyright and other intellectual property laws. These Terms do not transfer any ownership rights in the App to you.
5.2 Your Generated Music
HighRoad Software does not claim ownership of audio you generate using SongForge. Whether an output qualifies for copyright protection, infringes third-party rights, or may be used commercially depends on applicable law, your inputs, and the licence of the model you use.
HighRoad Software is granted no license to your generated audio. Because all inference runs locally on your device and no audio is transmitted to us, we technically never receive your output.
5.3 ACE-Step Model
The ACE-Step 1.5 model weights are distributed under their own open-source license. By downloading and using the model files, you also agree to the terms of that license. SongForge is not affiliated with the ACE-Step model authors.
6. Acceptable Use
You may not use SongForge to generate content that:
- Infringes the copyright, trademark, or other intellectual property rights of any third party.
- Constitutes defamation, harassment, hate speech, or incitement to violence against any individual or group.
- Is explicitly sexual involving minors.
- Violates any applicable local, national, or international law or regulation.
HighRoad Software cannot monitor locally-generated content and does not do so. Responsibility for the prompts and lyrics you input, and for the songs you generate, rests entirely with you.
7. Model Download and Third-Party Services
The App downloads model files from Hugging Face on first launch. Your use of Hugging Face's services is governed by their own terms of service. HighRoad Software is not responsible for the availability, accuracy, or continued licensing of model files hosted by third parties.
8. Disclaimer of Warranties
SongForge is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
HighRoad Software does not warrant that:
- The App will be uninterrupted or error-free.
- Generated content will meet any particular quality, musical, or commercial standard.
- The App will be compatible with all future macOS versions.
9. Limitation of Liability
To the maximum extent permitted by applicable law, HighRoad Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of SongForge, even if advised of the possibility of such damages.
Where liability may lawfully be limited, our total aggregate liability for claims arising from these Terms or the App will not exceed the amount you paid for the App in the 12 months preceding the claim. This limitation does not apply where prohibited by law, including for fraud, wilful misconduct, death or personal injury caused by negligence, or mandatory consumer remedies.
10. Apple-Distributed Copies
For copies obtained through Apple: these Terms are between you and HighRoad Software, not Apple; Apple has no obligation to provide maintenance or support; HighRoad Software is responsible for product claims and intellectual-property claims to the extent required by law; and Apple may refund the purchase price where the app fails to conform to an applicable warranty, with any other remedies remaining HighRoad Software's responsibility. You must comply with third-party terms and represent that you are not in a sanctioned country or on a prohibited-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. Your licence is limited to Apple-branded devices you own or control, subject to Apple's Usage Rules, including eligible Family Sharing or volume purchasing.
11. Governing Law and Disputes
These Terms are governed by the laws of Belgium, without regard to its conflict-of-law principles. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of Nivelles, Belgium.
If you are a consumer resident in the European Union, you may also have rights under EU consumer protection law, which these Terms do not limit.
12. Changes to These Terms
We may update these Terms from time to time. We will update the "Last updated" date at the top of this page. Continued use of SongForge after the effective date of updated Terms constitutes acceptance. If we make material changes, we will provide notice through the App or the App Store.
